Introduction

B3 DAO is a decentralized governance ecosystem built on the principles of transparency, accountability, and community-driven decision-making. Delegates play a critical role in shaping the future of the B3 Protocol, ensuring governance decisions align with the best interests of the ecosystem.

This Delegate Code of Conduct sets forth the expectations, responsibilities, and ethical commitments required of all delegates participating in B3 DAO governance. The Code of Conduct does not cover all edge cases, and attempts to circumvent governance rules through loopholes, technicalities, or bad-faith interpretations is considered a violation of this Code.

By acting as a delegate, individuals agree to uphold the principles outlined in this document.

1. Acting in Good Faith & Best Interest of B3 Protocol

  • Delegates must act with honesty, integrity, and transparency in all governance-related activities.
  • Delegates should vote and participate in what they believe is in the best long-term interests of the B3 Protocol and its stakeholders.
  • Decisions should be free from undue influence, personal financial incentives, or self-serving motives.

2. Active Participation & Due Diligence

  • Delegates are expected to be actively engaged in governance, including voting on proposals, discussing policy, and staying informed about ecosystem developments.
  • Prior to voting, delegates must review proposals thoroughly, ensuring an unbiased and well-informed decision-making process.
  • If a delegate is unable to adequately review a proposal, abstaining from voting is encouraged over casting an uninformed vote.
  • Delegates should participate in governance discussions constructively, contributing meaningful insights, analysis, and feedback.

3. Transparency & Communication

  • Delegates should publicly disclose the rationale behind their votes in a clear and accessible manner to build community trust and promote informed decision-making.
  • Delegates should make themselves reasonably available to answer questions, engage in discussions, and provide clarity to the community.
  • If a delegate intends to step down, they must notify the community at least one month in advance to allow delegators to reallocate their votes.

4. Respect, Civility, & Professionalism

  • Delegates must foster a respectful, inclusive, and harassment-free governance environment.
  • Constructive disagreement is encouraged, but personal attacks, threats, or intimidation will not be tolerated.
  • Delegates should provide feedback based on evidence and avoid spreading misinformation about governance decisions or community members.
  • Unacceptable behaviors include, but are not limited to:
    • Harassment, discrimination, or intimidation of any kind.
    • Publishing private information (doxxing) without consent.
    • Using inappropriate or offensive language.

5. Conflict of Interest & Ethical Integrity

  • Delegates must disclose any actual or potential conflicts of interest before participating in governance votes.
  • Delegates must not vote on proposals where they, their affiliates, or close associates stand to gain a direct financial or material benefit.
  • If a delegate is uncertain about whether a conflict of interest exists, they are encouraged to err on the side of disclosure.
  • Delegates must not accept bribes, financial incentives, or lobbying efforts aimed at influencing their governance decisions.

6. Protection Against Undue Influence

  • Delegates should independently assess proposals without pressure from external actors, projects, or individuals seeking to manipulate governance.
  • Any attempts by third parties to coerce or unduly influence a delegate’s vote must be publicly disclosed.
  • Delegates must refrain from engaging in vote-buying, collusion, or manipulation of the governance process.

7. Accountability & Enforcement

  • Violations of this Code of Conduct may result in penalties, including removal of delegate status or restrictions on governance participation.
  • Any community member may report misconduct or violations to the DAO and/or Foundation for review.
  • Enforcement actions may include:
    • Warnings for minor infractions.
    • Temporary suspension from governance activities.
    • Permanent removal from delegate status for repeated or severe violations.
  • Delegates may request an appeal process, in which the DAO and/or the Foundation can review governance-related enforcement decisions transparently.
  • Resolution of conflicts between delegates can be brought to the Player1 Foundation, who will act as a neutral mediator. Delegates should first attempt resolving conflicts privately and in good faith before seeking external intervention. If a resolution cannot be reached, or if the issue involves harassment or threats, it should be reported to the Player1 Foundation. The Foundation has the final authority in determining the outcome and may escalate the matter to the broader community if deemed necessary at its determination.

8. Commitment to Continuous Improvement

  • This Code of Conduct is a living document that will evolve based on community feedback and governance needs.
  • The community is encouraged to propose amendments to ensure the document remains relevant, fair, and effective.
